– in the following “provider” –

and

the users of this platform designated in § 2 of these GTC – hereinafter referred to as “Customer/Customers” – are concluded.

 

1. Scope, Definitions, Parties

(1) The following General Terms and Conditions shall apply exclusively to the business relationship between the Provider and the Customer in the version valid at the time of the order. Deviating conditions of the customer are not recognized, unless the supplier expressly agrees to their validity in writing.

(2) The Provider does not provide its services to consumers, but exclusively for the purposes of the commercial or independent professional activity of the Customer.

 

2. Conclusion of Contract

(1) The Customer can select a seminar from the Provider’s product range and submit a binding application to purchase the seminar by clicking the “Buy Now” button. Before sending the order, the customer can change and view the data at any time.

(2) After clicking the “Buy now” button, a confirmation page appears to the customer, which once again shows and confirms the key data of the order. The customer can print this out using the “Print” function. The automatically displayed confirmation page merely documents that the customer’s order has been received by the provider and does not represent acceptance of the application. The contract is only concluded by the submission of the declaration of acceptance by the provider, which is sent with a separate e-mail (order confirmation) with the subject “Confirmation of your order with FELD M GmbH”. In this e-mail or in a separate e-mail the text of the contract (consisting of order, terms and conditions and order confirmation) will be sent to the customer by us on a durable medium (e-mail or paper printout). The text of the contract shall be stored in compliance with data protection laws.

(3) The contract is concluded in the languages: German and English

 

3. Seminar availability, payment modalities

(1) The customer can make payment by invoice.

(2) Payment of the purchase price is due upon receipt of the invoice. Payment must be received by the provider no later than 72 hours prior to the start of the seminar.

(3) There is no claim to the execution of a seminar if not enough participants have registered in time, i.e. 4 weeks before the start of the seminar.

(4) If a seminar is cancelled for reasons of §3 (3) or due to illness of the speaker, force majeure or other unforeseeable events, there is no claim to the implementation of the event. In such a case, the provider will offer another date for the seminar. If, as a result, participation is no longer possible for the customer, the provider will immediately refund any payments already made by the customer.

(5) Furthermore, FELD M GmbH is entitled to cancel events up to 14 days before the start of the event without giving reasons, to relocate them and/or to name an alternative date. If participation is no longer possible for the customer as a result, the provider will immediately refund any payments already made by the customer.

 

4. Rights of use

All rights including the rights of reprint, reproduction and translation of seminar documents or parts thereof remain with the provider and are only permitted with the prior written consent of the provider.

 

5. Prices and shipping costs

All prices stated on the provider’s website are exclusive of the applicable statutory value-added tax.

 

6. Liability

(1) Claims of the customer for damages are excluded. Excluded from this are claims for damages by the customer arising from injury to life, limb, health or from the breach of essential contractual obligations (cardinal obligations) as well as liability for other damages based on an intentional or grossly negligent breach of duty by the provider, its legal representatives or agents. Material contractual obligations are those whose fulfillment is necessary to achieve the objective of the contract.

(2) In the event of a breach of material contractual obligations, the Provider shall only be liable for the foreseeable damage typical for the contract if such damage was caused by simple negligence, unless the Customer’s claims for damages are based on injury to life, body or health.

(3) The restrictions of paragraphs 1 and 2 shall also apply in favor of the legal representatives and vicarious agents of the Provider if claims are asserted directly against them.

(4) The provisions of the Product Liability Act shall remain unaffected.

 

7. Final provisions

(1) FELD M GmbH is entitled to subcontract the execution of the seminar.

(2) § 312i para. 1 No.1, 2 and 3 BGB (German Civil Code) as well as § 312i para. 1 sentence 2 BGB (German Civil Code), which provide for certain obligations of the entrepreneur in case of contracts in electronic business transactions, are hereby waived.

(3) The law of the Federal Republic of Germany shall apply to contracts between the Provider and the Customers to the exclusion of the UN Convention on Contracts for the International Sale of Goods and international private law.

(4) The place of jurisdiction shall be the registered office of FELD M GmbH.

(5) If the Customer is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction for all disputes arising from contractual relationships between the Customer and the Provider shall be the registered office of the Provider.

(6) The contract remains binding in its remaining parts even if individual points are legally invalid. Instead of the ineffective points, the statutory provisions, if any, shall apply. Insofar as this would represent an unreasonable hardship for one of the contracting parties, however, the contract as a whole shall become invalid.
